1. Agreement Information

This Agreement outlines the terms and conditions under which COSMOSAT  provides its services. By using the COSMOSAT  Service, you accept and agree to abide by these terms. References to “we”, “us”, or “our” refer to COSMOSAT .

2. Accessing the COSMOSAT Subscription

To subscribe to COSMOSAT , you must:

  • Be at least 18 years old;
  • Own a compatible device connected to the internet within the service territory;
  • Maintain a valid COSMOSAT  Account linked to a credit card with a billing address in the territory or choose third-party billing via an approved partner.

Additional Access Terms:

  1. You are responsible for all charges incurred through your use of the COSMOSAT  Service, including any additional services.
  2. In addition to your primary household device, you may register:
  • One (1) additional device (e.g., our proprietary set-top box or compatible devices via our TV App, which can be used through HDMI or on TVs with our app available in their App Store),And/or a mobile device.
  • These may be added to your COSMOSAT  Account at any time for an additional monthly fee.
  • The service allows a maximum of two (2) concurrent streams per account/household. Additional monthly fees may vary depending on the selected option.
  1. The list of compatible devices may be updated by us at any time.
  2. We reserve the right to suspend, restrict, or cancel your access if you register/deregister devices excessively in one day, or if the service is accessed from a location outside the original household. We may monitor the number of devices registered to your account.
  3. Service quality may vary based on factors beyond our control, such as your internet provider’s network or bandwidth limitations.
  4. We may enhance or upgrade the service at any time. For the best experience, keep your set-top box, operating system, and COSMOSAT  app updated to the latest version.
  5. Content quality and availability may differ depending on the device, location, or type of internet connection used.
  6. You must provide valid proof of identity upon request.

3. Username and Password

  1. Registration is required for all services. We reserve the right to deny access to anyone at our discretion. Registration requires a valid email, postal address, and credit card, and you must be at least 18 years old.
  2. You are solely responsible for securing your password and for all activities under your account. Do not share your password with others. If you suspect unauthorized use, notify us immediately. We may deny or revoke access for accounts found impersonating others or misusing personal data.
  3. You may only register for a subscription if you reside in a serviceable COSMOSAT  market, and you must use your residential address. The service is limited to channels available in your designated market. Accessing unavailable signals, providing false information, using another person’s credentials, or masking your actual location is prohibited. We may verify your address using your IP, billing info, geo-location data, and publicly available sources.

4. Personal Information

  1. Your personal data is managed in accordance with the Privacy Act.
  2. We collect and use your personal data (name, address, contact details, and payment information) per our Privacy Policy.
  3. We may collect data on programs, ads, or services viewed or accessed by you or others on your account. If this data identifies you, it will be handled according to our Privacy Policy.
  4. By creating an account, you consent to our collection and use of your information as outlined. The Privacy Policy is available by calling 514-9611945 or clicking the provided link.

5. Use of Devices and Service

  1. You may access and control over-the-air broadcast television signals remotely via supported internet-connected personal devices (smartphones, tablets, PCs, netbooks, etc.). A current list of supported devices is provided upon purchase. Registration is required as per Section 1.
  2. Upon registering, and subject to these terms, you are granted a limited, non-transferable, non-exclusive right to use the COSMOSAT  Product to access broadcast content available in your designated market (based on your residential address). Accessing content from outside your home market is not permitted. Availability of specific channels is not guaranteed. Your registration address must be your actual residence.
  3. You may only use the service for personal, non-commercial purposes, and in compliance with these terms.
  4. You agree not to tamper with or bypass any security features of the COSMOSAT  Product or website, or any mechanisms designed to restrict copying or control usage.

6. Acceptable Use Policy

You agree not to use the service in any way that:

  1. Harms the reputation or public image of COSMOSAT ;
  2. Violates any intellectual property or proprietary rights of COSMOSAT  or third parties;
  3. Suggests endorsements by COSMOSAT  without written consent;
  4. Breaks any laws, or promotes illegal behavior;
  5. Involves defamatory, threatening, abusive, invasive, hateful, obscene, or discriminatory conduct;
  6. Shares confidential or insider information without authorization;
  7. Prevents others from using the service (e.g., hacking or vandalizing parts of the service);
  8. Modifies, translates, reverse engineers, or decompiles the service or any portion of it;
  9. Removes or alters copyright or trademark notices from the service or its content;
  10. Sublicenses, sells, rents, leases, transfers, or otherwise exploits the service or its content;
  11. Distributes malicious code, viruses, scripts, or harmful files;
  12. Disrupts or overloads the service infrastructure or its associated systems.
  13. You must not engage in the creation or distribution of junk mail, spam, chain letters, pyramid schemes, or any other deceptive or unsolicited bulk or commercial emails. Additionally, you must comply with all laws concerning the distribution of pornographic or violent content.
  14. Forging headers or manipulating identifiers to obscure the origin of a submission is strictly prohibited.
  15. You are not permitted to perform any network monitoring, packet sniffing, data interception, decoding, or mining of communications between the Service’s servers or data not intended for you. You must not collect user data or information from other users without their explicit consent.
  16. Misuse of the Services or Content may result in the immediate suspension or termination of your access, and may also result in civil or criminal liability.

7. Intellectual Property

  1. The COSMOSAT Site and Services include protected content such as logos, trademarks, images, videos, software, testimonials, blog posts, and advertising. These materials are safeguarded by intellectual property laws. Unless otherwise stated in these Terms, you are not permitted to copy, modify, distribute, publicly display, or create derivative works from this content, except for personal use under permitted DVR functionality.
  2. “COSMOSAT ” and the associated logo are registered trademarks of COSMOSAT or its affiliates. Other trademarks displayed may belong to third parties. This Agreement does not grant you rights to use any trademarks, including COSMOSAT  Marks or third-party intellectual property. You may not use these trademarks in a way that misrepresents your association with COSMOSAT  or causes consumer confusion.
  3. COSMOSAT does not claim ownership of copyrights or other rights in broadcast programming, including third-party ads, accessed through our equipment. You are solely responsible for ensuring that your viewing, recording, or storing of this content complies with applicable laws. You may not modify, share, or copy any of this programming.
  4. COSMOSAT retains full ownership of the Product, Site, and Services, including any modifications or enhancements. Intellectual property such as patents, trade secrets, and copyrights remain the sole property of COSMOSAT . Note: Third-party software included in supported devices is governed by separate licensing terms between you and the third-party provider.
  5. You may not reverse engineer, disassemble, decompile, modify, or create derivative works from the COSMOSAT Product or Services, nor may you attempt to derive source code. You must not remove or obscure any copyright or intellectual property notices.
  6. Services may contain third-party advertisements and references to external products, services, or content. These are provided for informational purposes only and do not imply endorsement or affiliation by COSMOSAT . Trademarks belonging to third parties remain the property of their respective owners.
  7. COSMOSAT is not responsible for the content of any third-party websites linked to from our Site. We do not control or endorse any content on such external sites. Your use of third-party websites is at your own risk, and you release COSMOSAT  from all liability related to such use.
  8. COSMOSAT makes no guarantees regarding the content or suitability of any over-the-air broadcasts or content available via our Services. We do not offer closed captioning, content ratings, or emergency broadcast features. Content may not be appropriate for all audiences.

8. Copyright Complaints

COSMOSAT  respects the intellectual property rights of others and expects the same from users. We respond promptly to legitimate copyright infringement claims in accordance with applicable laws. If you believe your work has been used in a way that violates your rights, please submit the following to our Copyright Agent:

  • A physical or electronic signature of the authorized person acting on behalf of the rights holder;
  • A description of the copyrighted work or intellectual property allegedly infringed;
  • The location of the material on our Site or App that you believe is infringing, with sufficient detail to find it;
  • Your name, address, phone number, and email address;
  • A good faith statement that the disputed use is not authorized by the copyright owner, their agent, or the law;
  • A statement made under penalty of perjury that the information in your notice is accurate and that you are authorized to act on behalf of the rights holder.

9. No Warranty

All Services and related content are provided “as is”, without any express or implied warranties. COSMOSAT  expressly disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service. We make no assurances regarding the quality, reliability, accuracy, or availability of any content, services, or information accessed through the platform

10. Indemnification

You agree to indemnify and hold harmless COSMOSAT , its licensors, suppliers, agents, affiliates, successors, and their respective directors, officers, employees, and representatives from any and all claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms;
  • Content you submit or transmit that infringes on third-party rights;
  • Your activities related to the use of the Services or linked websites;
  • Your intentional misconduct or gross negligence.

This indemnification obligation survives your use of the Services and the termination of this Agreement.

11. Limitation of Liability

To the fullest extent permitted by law, COSMOSAT  and all parties involved in developing, producing, or delivering the Services—including all associated content—will not be held liable for any indirect, incidental, special, consequential, or punitive damages. This includes damages resulting from your inability to access or use the Services, regardless of the legal basis (e.g., contract, warranty, tort—including negligence—or otherwise), and even if COSMOSAT  has been advised of the possibility of such damages or if any remedy fails in its essential purpose.

You specifically acknowledge that COSMOSAT  is not responsible for any defamatory, offensive, or illegal actions by third parties or other users and that you assume full risk associated with such conduct. Additionally, COSMOSAT  holds no responsibility for third-party content accessed through the Services.

You agree that the total liability of COSMOSAT  for all claims related to the Services will not exceed the total amount you paid for access. These limitations are an essential basis of the agreement between you and COSMOSAT .

Note: Some jurisdictions may not allow the exclusion or limitation of liability for certain types of damages, in which case some limitations above may not apply to you.

12. Term, Termination, and Violations

  1. This Agreement becomes effective once you first access the Services or submit any information to COSMOSAT , and remains in force until terminated by either party.
  2. COSMOSAT  reserves the right to terminate this Agreement or suspend your access to the Services—entirely or in part—at any time, for any reason, with or without notice. The Agreement will also automatically terminate if you violate its terms. Upon termination, you must cease using the Services and destroy any content obtained. All disclaimers, limitations of liability, ownership rights, and your obligations (such as indemnification) will survive termination.
  3. We may modify, suspend, or discontinue the Services or any portion of them at any time without prior notice. COSMOSAT  shall not be liable to you or any third party for such changes. Nothing in this Agreement obligates us to maintain or support any part of the Services.
  4. COSMOSAT  may investigate violations of these Terms, including those involving intellectual property or security breaches, and cooperate with law enforcement if necessary. While we are not obligated to monitor your use of the Services, we may do so to enforce compliance or meet legal requirements.

13. Subscription, Billing, and Cancellation

  1. Ongoing Subscriptions: Your COSMOSAT  subscription renews automatically on a monthly basis unless cancelled. You must maintain internet access and a valid payment method. Monthly fees will be billed to your chosen payment method. Cancellations must occur before the renewal date to avoid being charged for the following month. If you prepaid for an annual subscription at a discounted rate, no refunds will be issued.
  2. Subscription Variants: We may offer multiple subscription types, including promotional and third-party bundled plans with varying terms. Any significant differences from these Terms will be communicated during sign-up. We are not responsible for products or services offered by third parties and may modify or discontinue subscription plans at any time.
  3. Initial Billing: Your payment method will be charged at the start of your subscription cycle unless cancelled beforehand. We may pre-authorize your payment method up to one month’s fee. Your available balance or credit limit may reflect this during the trial or transition period.
  4. Recurring Charges: Subscription fees are charged monthly until cancellation.
  5. Billing Authorization: By starting your subscription and designating a payment method, you authorize us to bill monthly subscription fees at the current rate, along with any other applicable charges (e.g., promotional adjustments or plan changes). These charges may vary monthly.
  6. Price Adjustments: We reserve the right to change service pricing or components at our sole discretion. Changes will take effect after we provide email notification.
  7. Billing Cycle: Subscriptions are billed on the 1st of each month. If your subscription began on a date that doesn’t occur in a later month (e.g., January 31), your billing date may be adjusted (e.g., February 1). We reserve the right to authorize your payment method in anticipation of future charges. “Billing” refers to any charge, debit, or payment clearance applied to your payment method.
  8. No Refunds: All payments are non-refundable. We do not issue refunds or credits for unused subscription periods, unwatched content, or mid-month cancellations. You will retain access to the service through the end of your current billing cycle. We may, at our sole discretion, offer credits in certain situations, but this does not entitle you to future credits under similar circumstances.
  9. Payment Failures: If a charge fails due to an expired card, insufficient funds, or another issue, and you do not cancel or update your payment method, you remain liable for any outstanding charges. We may retry billing or adjust the billing schedule accordingly. Additional fees, such as foreign transaction fees, may be charged by your payment provider.
  10. Subscription Cancellation: You may cancel your subscription at any time, but access will continue until the end of your billing period. No refunds or credits are provided for partially used months or unwatched content. To cancel, log into your account on our website and follow the cancellation process.

14. Miscellaneous

  • This Agreement is governed by the laws of the United States, excluding its conflict of law provisions. The parties explicitly exclude the application of the U.N. Convention on Contracts for the International Sale of Goods.
  • This Agreement constitutes the full and final agreement between you and COSMOSAT  regarding the use of the licensed software and supersedes all prior agreements or understandings.
  • Any amendment or modification must be in writing and signed by COSMOSAT  to be valid.
  • If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force. Any invalid term shall be modified to the extent necessary to reflect the original intent as legally permitted.
  • In the case of discrepancies between translated versions and the English version of this Agreement, the English version shall prevail.

15. Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be revised as necessary to best reflect the original intent of the parties, while remaining legally enforceable.

16. Waiver

COSMOSAT ’s failure to enforce any part of these Terms does not constitute a waiver of that provision or any other provision.

17. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of Switzerland, without reference to its conflict of laws rules. Any legal proceedings related to these Terms shall be brought exclusively in the competent courts of the Canton of Vaud, Switzerland. Both parties waive any objections to jurisdiction or venue in those courts.

18. Entire Agreement

These Terms of Use represent the full and exclusive agreement between you and COSMOSAT  concerning the Services and override any previous or simultaneous agreements or communications regarding the Services.

Messaging Terms & Conditions

When you opt into our messaging service, a confirmation message will be sent to verify your subscription. By subscribing, you agree to receive recurring automated marketing and informational SMS messages from COSMOSAT  at the number provided. Messages may be sent via an automatic dialing system.

COSMOSAT  reserves the right to adjust message frequency at any time and may change the sending phone number or short code without notice. Message and data rates may apply.
